These Terms & Conditions ("Terms") govern your access to and use of Valoent, a platform operated by Valoent, a company under Valorest Ventures ("Valoent", "we", "us"). By creating an account or using the platform, you agree to these Terms.
Valoent is a marketplace that connects independent professionals ("Professionals") with companies and recruiters ("Companies") seeking project-based expertise. Valoent facilitates introductions and automated, AI-assisted matching between Professionals and Companies; it is not a party to, and does not guarantee the outcome of, any engagement, contract, or agreement entered into between a Professional and a Company.
Valoent may offer optional or required verification of profile links, experience, skills, or company status. Verification badges reflect Valoent's review at the time granted and are not a guarantee of a party's conduct, reliability, or the quality of their work.
Using Valoent to register, post requirements, receive matches, build a team, view masked profiles and schedule interviews is free. Companies and recruiters pay Valoent a one-time service fee of 5% of the professional's total agreed fee, charged upfront when they choose to begin an engagement after a successful interview. Professionals pay nothing for their first 4 successful projects; from their 5th successful project a fee of ₹999 per project is charged when they are selected. A "successful project" is one where a company selects the professional and the engagement begins through Valoent. A company on a recruiter plan, if and when offered, may begin up to 5 engagements per calendar month under that plan; beyond that the Enterprise terms apply. Fees are disclosed before payment is made and applicable taxes are additional.
The professional's own fees are agreed and paid directly between the company and the professional, not through Valoent. Contact details are shared only once an engagement has begun. Payments are processed through third-party payment processors; Valoent does not store your full payment card details. Refunds are governed by our Refund & Cancellation Policy. All Valoent charges are made in Indian Rupees (INR).
Professionals and Companies may enter rates and budgets in a currency of their choice, and Valoent displays them converted into the viewer's chosen currency. Converted amounts are indicative only, based on exchange rates that change over time, and are not an offer, quote or guarantee. Valoent does not process project payments between Professionals and Companies; those parties agree and settle payment directly, and are responsible for complying with the laws that apply to them, including foreign-exchange, tax and sanctions rules in their jurisdictions.
Any work arrangement, contract, scope of work, rate, or payment schedule agreed between a Professional and a Company is solely between those parties. Valoent is not responsible for the performance, payment, or conduct of either party in connection with such an engagement, except where Valoent's own project-room or milestone tools are used and expressly state otherwise.
You retain ownership of the content you submit to your profile or in the course of using Valoent. By submitting content, you grant Valoent a license to display and use that content as necessary to operate the platform, including showing your profile to matched parties. Valoent is provided "as is." We do not guarantee that matches will result in successful engagements, that Professionals or Companies will meet expectations, or that the platform will be uninterrupted or error-free.
To the maximum extent permitted by law, Valoent and Valorest Ventures shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform or any engagement formed through it.
Valoent may suspend or terminate accounts that violate these Terms, including fraudulent verification claims, misuse of contact information obtained through the platform, or abusive conduct.
We may update these Terms from time to time. Continued use of Valoent after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of India, without regard to conflict of law principles.
